Power 2 — Adopt Budgets & Collect Assessments
Adopt and amend budgets for revenues, expenditures, and reserves, and impose and collect assessments for common expenses from owners.
Committee Notes
⚠️ See also Article III Purpose 8. Together, these two provisions grant the Board broad unilateral authority over budgets and assessments with no member vote requirement. This stands in direct conflict with Covenants Article VI.D, which requires a 60% affirmative member vote for special assessments for capital improvements. The restatement must reconcile these conflicting authorities, and WUCIOA's assessment procedures (RCW 64.90.525) will govern the outcome.

Power 16 — Do All Lawful Acts in Furtherance of Purposes
This corporation shall have the power to do all lawful acts or things necessary, appropriate, or desirable to carry out and in furtherance of its purposes described in Article III which are consistent with the Washington Nonprofit Corporation Act and the Washington Homeowners Association Act; without limiting the foregoing, the corporation shall have all of the powers authorized by the Articles of Incorporation and these Articles of Amendment thereto, as well as those powers set forth in the Bylaws, and in the Protective Covenants and Modified Protective Covenants attaching to each and every lot or parcel of property within the corporation's jurisdiction.
Committee Notes
🟡 See also Article III Purpose 10. This provision ties the corporation's powers to the Washington Nonprofit Corporation Act and the Washington Homeowners Association Act — both of which are being superseded by 2028. The reference to "Protective Covenants and Modified Protective Covenants" as a source of powers should also be reviewed in the restatement, since WUCIOA's hierarchy of governing documents will define the operative framework going forward.
