Article VII โ Notices
Except as may otherwise be required by law, any notice to any member or director may be delivered personally or by mail. If mailed, the notice shall be deemed to have been delivered when deposited in the United States mail, addressed to the addressee at his or her last known address in the records of the corporation, postage prepaid.
Committee Notes
๐ด Fix needed. Article VII limits notice delivery to personal service or mail only. Both RCW 64.90.415 and RCW 24.03A explicitly permit electronic notice โ this article is out of step with current law and creates unnecessary operational burden (289 physical mailings per notice cycle). Electronic notice must be added. Suggested replacement: "Notices required under these Bylaws may be delivered personally, by first-class mail, or by electronic means to the address provided by the member for that purpose. If mailed, notice is effective when deposited in the United States mail, postage prepaid. If transmitted electronically, notice is effective when sent. Members may elect their preferred delivery method in writing to the Secretary. Where no preference is stated, mail delivery applies."
