The Bylaws may be amended by vote of Owners holding at least sixty percent (60%) of the total votes in the Association, provided all Owners entitled to vote thereon are duly notified of the proposed amendment.

The Bylaws may be amended by vote of Members holding at least ____% of the total votes in the Association, provided all Members entitled to vote thereon are duly notified of the proposed amendment.
What Changed & Why
Open question: how many votes should it take to change the bylaws? The committee hasn't chosen a number yet. Every option counts all 289 lots, not just the people who return a ballot:
- 60%: at least 174 lots vote yes. This is the threshold in our current bylaws and the Sound Legal draft.
- 51%: at least 148 lots vote yes.
- 40%: at least 116 lots vote yes.
- 40% with a majority: at least 116 lots vote yes, and the yes votes are a majority of all ballots returned.
A higher bar keeps the bylaws stable. But when turnout is low, even a popular change can fail simply because not enough people voted. A lower bar makes needed updates easier, but lets a smaller group change the rules.
Whatever the number, every member must be notified of a proposed amendment before the vote.
